The application of Bump-Up clauses to settlements in shareholder merger suits continues to generate high stakes coverage disputes and frequent litigation.  This session will examine the evolving case law, with a focus on recent decisions from the Delaware courts, policy wording, transactional structures and other facts developed during the underlying merger litigation that can impact the coverage analysis.
